End User License Agreement

1. Scope of This Agreement

This End User License Agreement (“EULA”) governs your use of the underlying code, design components, and reusable technical framework (“Licensed Materials”) that Koffeeshot Consulting uses to build and deliver your website. This EULA does not apply to your own business content — your text, images, logo, brand assets, and copy remain entirely your property, as described in our Terms of Service.

2. Grant of License

Subject to full payment of the applicable build fee and your continued compliance with this EULA, Koffeeshot Consulting grants you a non-exclusive, non-transferable, non-sublicensable license to use the Licensed Materials solely as delivered, solely to operate the specific website built for your specific business.

3. Ownership Retained by Koffeeshot Consulting

Koffeeshot Consulting builds client websites using a library of reusable design components, layout systems, and code frameworks developed and refined across many client projects. These underlying systems — independent of the specific content and branding applied to your site — remain the sole property of Koffeeshot Consulting, whether or not they are visibly distinguishable from your finished website.

4. Restrictions

You may not:

• Resell, sublicense, or redistribute the Licensed Materials as a standalone template, theme, or product to any third party
• Use the Licensed Materials to build websites for any business other than your own, as identified at the time of purchase
• Remove or alter any proprietary notices contained within the Licensed Materials, where present
• Reverse engineer the Licensed Materials for the purpose of creating a competing product or service offering

5. Third-Party Components

Your website may incorporate open-source or third-party libraries and frameworks. Those components remain subject to their own respective licenses, which are unaffected by this EULA.

6. Term and Termination

This license remains in effect for as long as your associated hosting and support subscription remains active, or as otherwise agreed in writing. This license terminates automatically if you breach this EULA, or if your account is terminated under our Terms of Service. Upon termination, you must cease using the Licensed Materials, though this does not affect your ownership of your own business content as described in Section 1.

7. Disclaimer of Warranty

The Licensed Materials are provided “as is,” without warranty of any kind, to the maximum extent permitted by law.

8. Limitation of Liability

Koffeeshot Consulting's liability arising from this EULA is limited as set out in our Terms of Service, which this EULA incorporates by reference.

9. Governing Law

This EULA is governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles.
